The Company’s Members Register
This share register template records supplied member details and reconciles opening holdings with later share movements. Download the register and transaction history to keep the company’s continuing record.
A company’s members register contains its own record of membership and holdings. An ASIC company extract shows information lodged with ASIC. Use the approved register, allotment records and registered transfers to establish the opening position. An extract alone can leave out members outside ASIC’s reporting scope.
Before entering movements, agree the opening date and reconcile each class to the company’s existing record. Keep the original allotment dates and references with the opening lots. Separate lots preserve different allotments within the same class.
Fields for an Australian Register
Record each member’s name, address and date of entry in the register. Include a cessation date for a former member. Keep the names of all joint holders together in one member entry for their joint holding.
For each allotment, retain its date and quantity with the holder and class. Include share or certificate numbers where assigned. Record total amounts paid and unpaid on those shares. The output identifies a holding as fully paid when its entered unpaid amount is zero. It also identifies shares not held beneficially, including the affected class, quantity and share numbers you enter.
The Corporations Act’s register requirements include former members’ particulars and cessation dates for the last seven years. For more than 50 members, keep an up-to-date index that lets a reader find each member’s entry. This template covers ordinary share-capital records. Crowd-sourced funding, converted stock and specialised company arrangements require additional particulars.
The company retains every member’s particulars. ASIC’s notification requirements differ for proprietary and public companies, and reporting for larger proprietary registers centres on the top 20 members in each class. Share issues and other capital changes have their own notification rules. Read ASIC’s members-register guidance for the distinction. This download does not lodge a change with ASIC.
Record Issues and Transfers
The fictional example opens with 100 ORD shares held by Member A, fully paid at $100 in total. An issue adds 20 shares and $20 paid, under source reference ISSUE-1. A later transfer moves 30 shares and $30 paid from Member A to Member B, under TRANSFER-1.
Closing holdings are 90 ORD shares for Member A and 30 for Member B. The class reconciles as 100 opening shares plus 20 issued shares less zero cancellations equals 120 closing shares. The transfer has equal outgoing and incoming quantities, so it leaves the class total unchanged.
Enter the amounts paid and unpaid on the shares being moved, separately from any purchase price paid between the parties. The transfer creates both sides from one entry. The tool applies movements in effective-date order, using entry order when dates match.
Resolve Differences Before Export
Missing member particulars, duplicate source references and negative quantities or paid balances block export. Check the selected member, share class and source document when a movement exceeds the available holding. Matching class totals do not establish legal ownership or transfer validity.
To correct a recorded quantity, append a correction with a signed change, the earlier source reference and a reason. A correction of minus five shares reduces the entered holding by five while retaining the original entry. Paid and unpaid corrections must have matching signs. A zero-share correction can record a payment adjustment.
Remove buttons edit the current draft. Before changing a saved register, retain its prior version and supporting documents. Record approved corrections in the continuing history. Resolve disputed ownership, transfer authority and class rights separately.
Retain the Register Locally
Download JSON for the complete entered record, calculated holdings and paired transfer entries. Download CSV for readable sections containing members, opening lots and movement history with their source references. Both exports retain ISO dates and plain amounts. Text that could run as a spreadsheet formula receives a protective leading apostrophe in CSV.
Save the output in the company’s chosen record location with the underlying documents. Closing or reloading the browser clears this working copy. The page does not upload entries or save them in browser storage, and a download creates no ASIC filing or signed document.
For a confirmed holding, use the share certificate template. Handle relevant notifications through the ASIC Form 484 procedure.
