Start With the Approved Holding

Prepare this share certificate template from the company’s members register and approved share-issue records. Copy the registered holder’s name and address, including every joint holder. Use the exact class name and number of shares recorded for that holding.

Enter the paid and unpaid amounts per share separately. The tool multiplies each by the number of shares. A completed preview shows your entries; it does not establish that shares were validly issued or that the company is registered.

ASIC’s members-register guidance explains the records behind these particulars. Use the approved allotment date and the date intended for the certificate. The certificate date cannot precede the allotment.

An Australian Share Certificate

A share certificate records a member’s holding in the company. ASIC’s certificate of company registration records the company’s registration. The documents have different jobs.

Choose Load example for an entirely fictional preview. The fictional company and member, dummy ACN and certificate SC-007 identify the record. Its 100 Ordinary shares have $0.75 paid and $0.25 unpaid per share. The totals are $75 paid and $25 unpaid.

The preview includes the company’s registration statement, holder, class, share count and unpaid amount. Section 1070C of the Corporations Act specifies the company name and registration statement, share class and any unpaid amount. Printed signatory names identify who is expected to sign. The signature and signing-date spaces remain blank.

Check the Document Before Signing

Reconcile every field to the members register and approval record. Check class spelling, joint holders, share numbers where used and the amount unpaid. For fully paid shares, enter zero unpaid. Use an unused certificate number.

Enter existing certificate references, one per line, to check for a matching number. This check ignores letter case and extra spaces. It compares only the references you supply; it does not inspect the company’s records.

The execution choices follow section 127(1), without a common seal. Use two directors, or a director and a company secretary. A proprietary company’s sole director can sign if also the sole secretary or if the company has no secretary. Select the arrangement that matches the company’s actual officers.

A company using a seal or another execution method needs its own appropriate execution block. Check the constitution and authority before signing. Selecting an arrangement or typing a name here does not sign the certificate electronically.

Download the self-contained HTML document, open it in your browser and print it or save it as a PDF through the print dialog. Exported dates use ISO format. The download makes no company filing. Entries stay on your device and clear when you leave; a downloaded file remains where you save it.

Keep Certificates With the Register

Keep the issued certificate’s reference with its matching register entry. The continuing share register template helps record the holding behind each certificate. Retain the approval record and the completed signed copy.

When replacing or cancelling a certificate, record the old reference and its status alongside the new reference. A lost or destroyed certificate has a separate duplicate-certificate procedure under section 1070D. Preparing another copy does not complete that procedure.

Creating a second certificate does not transfer shares or change the holder’s entitlement. Reconcile the underlying transaction and register first. For a new company, the company registration guide covers the setup before its first holding is recorded.
