GST Joint Venture: Eligibility and Reporting

A shared project is not automatically a GST joint venture. Check participant eligibility, the written agreement and operator reporting.

A GST joint venture lets a nominated operator report GST for eligible participants on specified project dealings. Your client needs an eligible arrangement, written agreement and ATO notification. Sharing a project’s profits alone does not qualify.

Does the Arrangement Qualify?

A qualifying arrangement shares product or output between participants who can deal with their shares separately. Read the agreement and actual conduct together. A document headed joint venture agreement cannot settle the classification by itself.

GSTR 2004/2 identifies output sharing as necessary. Joint control, an agreed project and cost sharing also help establish the arrangement’s character.

Compare these fictional arrangements. In the qualifying pattern, two farming entities share cultivation costs and each owns an agreed share of the harvested crop. Each can sell its own crop. In the incorrect pattern, the parties jointly run a farming business and divide the business’s profits. Calling that agreement a joint venture does not establish a GST joint venture.

A joint selling agent can sell each participant’s separately owned output without turning that entitlement into a joint profit share. Trace ownership and the agent’s authority before classifying the receipts.

The project must involve mineral exploration or exploitation, or a purpose specified in regulation 51-5.01. The specified purposes cover the activities below.

  • Research and development, insurance other than life insurance, fishing and agriculture.
  • Timber cultivation or exploitation, and design, building or maintenance of residential or commercial premises.
  • Civil engineering, electricity generation or distribution, electricity transmission and water transmission or distribution.
  • Oil and gas receipt, storage, distribution, refining or processing.
  • Mineral beneficiation and primary metal production, including alloy production.
  • Charitable activities and transportation.

A combination of specified purposes can qualify. Match the project’s actual activity to the provision, including its limits. Selling completed apartments is not itself the specified purpose of designing, building or maintaining premises.

For Division 51, confirm that at least two entities qualify as participants. Each must participate or intend to participate, be party to the agreement with the other venturers, hold GST registration and use the same accounting basis. Cash accounting and non-cash accounting cannot be mixed. The participants need not all have the same tax periods.

A partnership is excluded. Joint entitlement to income can create a tax law partnership even where the parties disclaim a general law partnership. If that is the classification, address the partnership tax return obligations separately. GST grouping has different membership rules and uses a representative member. A GST joint venture does not give participants a general exclusion for transactions between them.

Nominate the Joint Venture Operator

Nominate the operator in the participants’ written agreement to form the GST joint venture. The operator can be a participant or a separate entity engaged to administer the project. A non-participant operator must still be GST-registered and account on the same basis as the participants.

Define what the operator is authorised to buy, import or supply for participants within the project’s activities. Under Division 51, the operator reports GST on those taxable supplies and importations. The operator also claims the corresponding credits on creditable acquisitions and importations. Participants exclude those same liabilities and credits from their own returns.

The operator lodges the venture’s GST return for each of its tax periods. The ATO records the venture against the operator’s ABN with a separate account identifier and issues separate activity statements. Keep these dealings separate from the operator’s own business transactions. A separate election is needed to consolidate returns for several GST joint ventures.

Reporting through the operator does not remove every participant liability. Participants can be jointly and severally liable for amounts the operator owes for the venture, subject to the indirect tax sharing agreement rules.

Prepare the Agreement and Notification Evidence

Prepare the formation record before sending the ATO notification. Keep the commercial agreement with the written decision to form a GST joint venture and the operator nomination. The file must explain who owns the output and which dealings the operator undertakes for each participant.

Use the ATO’s formation and change form, NAT 2953, in this order:

  1. Confirm eligibility and resolve inconsistent GST registrations or accounting bases before notifying. Record the specified purpose, main activity and proposed commencement date.
  2. Collect the operator’s legal name and ABN, participant legal names and ABNs, their joining dates and the written agreements. Add the venture name, authorised contact and eligible refund bank-account details.
  3. Complete sections A, B and E for formation. For a change, select the relevant operator-change, addition, removal or cancellation sections. Identify the existing venture account when applicable.
  4. Check whether the operator’s return due date has passed for the tax period containing the requested effective date. If it has, complete section G’s application for approval of the earlier date. Explain eligibility history and the effect on previously reported GST.
  5. Have an authorised operator contact complete and sign section H. Retain a copy with attachments, then send it through the form’s documented lodgement route. Online services for agents or business accepts the signed form as an attachment. The form also provides fax and postal options.
  6. Match the ATO account details and effective date to the file before allocating transactions to the venture’s activity statement. Retain any decision approving an earlier date with the affected return reconciliations.

Ordinary formation uses notification, without a blanket prior-approval application. An earlier effective date needs approval when notification is late under the return-due-date rule. Formation or addition cannot take effect before the participants satisfy eligibility. The form also sets a four-year backdating limit. Use section G’s questions to explain the relevant lodgements, debts, audits and reporting corrections.

If an incomplete notification delays the account, correct the missing information against the retained signed form. A second formation notice can create confusion. If the ATO allows a different effective date, reconcile the affected operator and participant returns to that decision.

Check Operator and Participant Transactions

Allocate each transaction by the capacity in which the operator acts and the activity it serves. The bank account that receives the cash does not decide who reports GST.

Consider this fictional agricultural GST joint venture. Both participants are registered and use non-cash accounting. Their output and funding shares are 60% and 40%. Assume every transaction below occurs in one tax period, is fully taxable where stated and has the required tax invoice. There are no other transactions or adjustments.

Worked Reporting Allocation

Source recordCapacity and purposeGST reporting
Equipment-hire tax invoice for $11,000, including $1,000 GSTOperator hires equipment as agent for both participants’ cultivation activitiesOperator claims $1,000 on the venture’s activity statement. Participants claim none of that credit.
Sale contract and invoice for a surplus project pump, $22,000 including $2,000 GSTOperator sells the participants’ pump as their agent during project operationsOperator reports $2,000 GST on the venture’s activity statement. Participants do not report it again.
Invoice for $3,300, including $300 GST, for the operator’s separately owned equipmentOperator sells its own equipment to a participant for that participant’s separate farmApply ordinary GST rules. Operator reports $300 on its own business activity statement. The buyer claims $300 if its acquisition is fully creditable.

The venture’s GST payable in this example is $1,000: $2,000 less $1,000. Participants can fund that amount in their agreed proportions. Dividing the funding does not divide the operator’s reporting obligation or create participant credits.

GSTD 2004/2 explains why naming an entity as operator does not shelter all its supplies to participants. Section 51-30(2) applies to an operator-capacity supply acquired for consumption, use or supply within the venture’s activities. A separate business sale needs its own GST assessment.

For property projects, GSTR 2004/3 addresses arrangements that sell new premises through a participant. An operator label cannot convert those sales into untaxed dealings. Receiving an existing output entitlement, transferring title as agent and buying premises for resale have different facts. Examine ownership, consideration and the specified activity before deciding the treatment.

Review Changes Before the Next BAS

Recheck eligibility when participants, the operator or the project purpose changes. A new participant needs a written agreement and must satisfy the participation requirements. Use NAT 2953 to notify additions, removals, operator changes or cancellation.

The operator must notify the ATO within 21 days after a participant stops meeting the participation requirements. Notify a replacement operator’s appointment within 21 days of the change. Check these duties alongside the return-due-date rule for the requested effective date. The venture is taken to dissolve if fewer than two eligible participants remain. It also dissolves if an outgoing operator has no replacement effective from the following day.

Before lodging the next BAS, match the operator’s transaction schedule to each participant’s records. Record the supplier or customer, invoice reference, agency capacity, project purpose and tax period beside each GST amount. Flag participant output sales and separate business dealings for the participant’s own reporting. Review later credit notes and adjustments, including those arising after a participant leaves, under the applicable Division 51 rules.

For the worked example, the reconciliation must show $2,000 output GST and $1,000 input credit in the venture account. It must also show the $300 separate-business GST outside that account. Resolve any duplicate participant credit or missing operator supply before lodgement, then retain the agreed reconciliation with the returns.
