Company Compliance Products Compared
CAS 360 and Corporate Messenger both handle ongoing Australian Securities and Investments Commission (ASIC) work for accounting practices. The choice turns on the records you need, document flexibility and how staff manage unfinished lodgements.
| Decision | CAS 360 | NowInfinity Corporate Messenger |
|---|---|---|
| Register reporting | Officers and members registers, with historical reporting and PDF or Word export | Company records and an Excel shareholdings export with beneficial ownership and paid or unpaid amounts |
| Annual reviews | Automated statement downloads, data comparison and delivery of the review pack | Annual statement automation, debt tracking and client reminders |
| Solvency records | Resolution or minutes in the annual review pack | Resolution or minutes generated through annual statement settings |
| Document preparation | Word document templates can be customised | Minutes and resolution templates are fixed, with editing available for some generated documents |
| Signing | Connections to electronic signing providers | DocuSign signing and SMS reminders included in Corporate Messenger |
| Failed lodgements | Rejected status, notification and ASIC validation report | Rejected status and validation reports in the Notification Centre |
| Exit access | Five years of read-only data access and exports under BGL’s agreement | Completed templates and stored uploaded materials downloadable for 30 business days after termination, with a paid storage option |
Choose CAS 360 when historical registers and control over document wording are central to the work. Its reports let you include ceased officeholders and shareholders. That helps a practice handling company takeovers or questions about earlier ownership.
Corporate Messenger fits a practice that wants annual statements, signing and reminders together. Its included signing reduces the number of separate document services to arrange. Fixed resolution templates matter when your practice relies on its own wording.
A small portfolio can also use the ASIC registered agent portal with separately maintained registers and a task list. ASIC’s portal guide describes annual review and company-change functions. Save submitted forms outside the portal because ASIC makes them available there for 90 days.
Portfolio size alone does not decide the purchase. A handful of companies with frequent share changes can need stronger reporting than a larger portfolio of companies with few changes. Keep formation-document choices in the formation and trust document software comparison.
Registers and Annual Review Work
Compare the company’s historical records separately from the annual statement pack. CAS 360 prepares officers and members registers. Its report settings can include past holdings, ceased officers and notes recorded with changes.
Corporate Messenger’s shareholdings export includes share class, quantity, beneficial owner and paid or unpaid amounts. Its Managing Transactions feature uses share parcels to record changes. An opening parcel can be created when historical transaction data is insufficient to reconstruct earlier parcels.
That difference matters during a takeover. A current holding of 100 ordinary shares does not explain how the member acquired them. Match opening holdings to earlier registers and signed transfer or allotment records before treating the imported history as complete.
Both products prepare annual review documents containing a solvency resolution or minutes. CAS 360 also prepares the annual statement and ASIC invoice in its review pack. Corporate Messenger regenerates these documents through annual statement settings.
Keep the client’s confirmation of company details separate from the directors’ solvency decision. Staff prepare the documents and track their return. Directors make the decision and the practice retains the resulting record. A reminder being sent does not establish that either action happened.
Use the annual company obligations checklist for the obligations behind those records. Here, the deciding software question is whether staff can see which documents need confirmation or signature and which fees remain unpaid.
Changes and Lodgement Evidence
Choose software that distinguishes a prepared change from a signed document and an accepted lodgement. Corporate Messenger shows separate draft, waiting-for-signature, signed and lodged states. A signed item still needs lodgement, and a transmitted item can remain unfinished.
CAS 360 separates document preparation and lodgement through its user-role settings. Its rejected documents have a validation report attached, and a rejection notification identifies the failed lodgement. Staff correct the information and prepare a new document set for lodgement.
Corporate Messenger keeps validation reports for forms lodged within Corporate Messenger in its Notification Centre. Its lodgement list can be filtered by account manager. Assign somebody to review rejections and items still waiting for signature, with another staff member covering their absence.
Keep a record for each change that connects the client’s instructions to the approved documents. Retain the authority to lodge, the final version and ASIC’s confirmation. If a rejection changes the substance of the document, obtain approval for the corrected version before lodging it.
Both products use ASIC EDGE access for electronic lodgements. CAS 360 explicitly requires valid EDGE credentials, and Corporate Messenger’s onboarding covers its EDGE settings. A portal login alone does not complete that setup.
Software preparation does not establish what happened in the company. Staff still need the actual effective event, relevant consents and instructions from an authorised person. Use the correct signing and lodgement route for the form being prepared, then retain its outcome with the company file.
Move the Client Portfolio Safely
Move the records and unfinished work together, then reconcile each company before relying on the new register. CAS 360’s migration services cover other company records. Corporate Messenger imports company information from ASIC and supports historical imports from specified outgoing software.
An ASIC import and a historical-record import answer different questions. The first brings in recorded company details. The second can preserve past transactions. Neither removes the need to compare the imported records with your client’s supporting documents.
Before switching, export the company list and registers. Download signed resolutions, approved change documents and ASIC confirmations into the practice’s document system. Record every unresolved rejection and outstanding review task so the changeover does not leave it behind.
CAS 360 exports company registers as PDF or Word documents. Corporate Messenger exports shareholdings to Excel, including beneficial ownership and paid or unpaid amounts. A spreadsheet holding balance is useful for reconciliation, but signed documents explain the transactions behind it.
For each company, reconcile the following records before completing the handover:
- Match the ACN and agent appointment to the intended company.
- Compare officeholders and member holdings with the existing register and client instructions.
- Reconcile share classes, paid amounts and unpaid amounts with signed transaction documents.
- Confirm that annual review documents, debt records and unresolved lodgements have responsible staff members.
A fictional takeover illustrates the risk. An imported register shows one member holding 100 shares, while a signed transfer records that 20 shares changed hands. Keep the discrepancy open until staff establish whether the transfer was completed and recorded. Editing a balance to make it agree can conceal the missing transaction.
Exit terms differ materially. BGL’s agreement gives CAS 360 customers five years of read-only data access and exports after cancellation or termination. That access includes documents. It is useful for later queries, but keep an independent practice archive.
NowInfinity’s terms allow downloads of completed templates and stored uploaded materials for 30 business days after termination. Continued storage and access requires timely notice and an annual fee. Export the portfolio and documents before cancellation so a later query does not depend on that arrangement.
Portfolio Cost and Staff Access
Compare the same company count and document requirements before choosing a subscription. CAS 360 starts with a minimum of 25 companies and grows in lots of five. Corporate Messenger also starts at 25 companies, then grows one company at a time.
For an illustrative 12-company portfolio, both minimums exceed the companies you manage. At 80 companies, both allowances can match the portfolio. At 81, CAS 360’s five-company increments require the next allowance, while Corporate Messenger adds one company.
| Cost input | CAS 360 | Corporate Messenger |
|---|---|---|
| Main billing unit | Per company per year, with a monthly subscription option | Per company per year |
| Staff users | Unlimited users included | No charge to add users to an account |
| Signing and reminders | Signing connections exist, so include the chosen provider’s terms in the comparison | DocuSign signing and SMS reminders included |
| Migration or onboarding | BGL’s agreement includes migration within six months of the initial subscription, with a fee thereafter | Class describes consultant onboarding at no extra cost |
| Optional work | Include separately arranged document or signing services where needed | Documentation Suite purchases and document plans have their own charges and commitments |
| Leaving | Retain exports and account for the time needed to archive documents | Include any continued storage and access arrangement in the exit cost |
Keep government lodgement fees separate from software costs. Compare company-management charges over the same period, including any unused minimum allowance. Add staff time for import reconciliation and document archiving, even where onboarding support is included.
Individual staff access is available in both products. CAS 360 administrators can change roles and disable access through User Manager. Corporate Messenger uses individual users, with an Access Controller managing settings and user access.
When a staff member leaves, reassign their companies and unfinished lodgements before removing access. Confirm who receives signing replies and checks ASIC confirmations. Restrict administration and lodgement permissions to the people responsible for those actions.
Choose CAS 360 when register history and editable document templates decide the purchase. Choose Corporate Messenger when included signing, reminders and single-company growth suit your portfolio. Put the company allowance, optional services and exit arrangements in the purchase approval alongside the staff responsibilities.
