To cancel a business name registration, get the holder’s authority and lodge the cancellation through ASIC Connect. Save the registration records first. Plan the name cancellation alongside the client’s ABN, GST and company closure so each step has its own confirmation.

How to Cancel a Business Name With ASIC, Step by Step

Cancel the name through ASIC Connect using the account linked to that business name. A practice handles this as an authorised lodger. Its ASIC registered agent number alone does not authorise cancellation of a business name.

ASIC’s authorised-lodger guidance says the lodger is an individual, including someone employed by a practice. The holder can also use their own linked account. Keep company-agent access separate from this business-name access. Our ASIC registered agent guide explains the related company work.

Before lodging, record the holder’s express instruction to cancel each name. Include the holder and ABN, exact names, reason for cancellation, authority of the person instructing you and when they approved it. Confirm they understand the loss of registration. Permission to access an account is not a substitute for an instruction to close a particular name.

Follow ASIC’s Cancel a business name registration instructions for the transaction:

  1. Sign in to the linked ASIC Connect account. If the name is missing, use the holder’s ASIC key to link it first.
  2. Open ‘Lodgements and notifications’ and select the correct business name. Check its holder and ABN against the authority.
  3. Choose ‘Cancel/transfer business name’ and select ‘Go’.
  4. On ‘Cancellation details’, choose ‘I would like to cancel the business name’. Continue with ‘Next’.
  5. Review the details, complete the declaration and submit. Save the ‘Document acknowledgement’ PDF from the confirmation screen.
  6. Follow up the final cancellation notice and check the public register for cancelled status. A submitted request is not the final cancellation.

ASIC sends an intention notice and then a confirmation notice. Its cancellation guidance states that cancellation occurs 28 days after the application is submitted. Keep both notices against the name.

If another party claims an interest in the name, pause the practice’s closure job and resolve the holder’s authority and any transfer arrangement. A sale, disputed ownership or insolvency needs its own assessment before the declaration is made.

The Order to Cancel in When a Client is Shutting Down

Start the business-name work before removing the registrations and access you need to finish the client’s exit. This is an exit checklist, with separate decisions for GST and the ABN.

Before starting, check whether employees still need final payments or reporting. Review contracts, unpaid invoices and bank accounts using each name. Arrange how the client will receive outstanding money and answer correspondence after trading stops.

For a hypothetical sole trader with two business names, use one closure list with a separate row for each name. The client instructs you to cancel both. Save each record, lodge both requests and track both final notices. Closing one name does not close the second name or the sole trader’s ABN.

Work through that client’s exit in this order.

  1. Finish trading under the names and obtain the documents needed for the client file.
  2. Lodge the name cancellations and track their completion.
  3. Set the correct GST cancellation date and deal with final reporting. Use the GST cancellation guide for that decision.
  4. Cancel PAYG withholding if applicable, then the ABN when the outstanding government obligations are met. Use the ABN cancellation guide for the separate request.

The ABR’s cancellation guidance says ABN cancellation also cancels GST and certain other tax registrations. It also ends authorised relationships between the ABN and myID. Do not cancel the ABN merely because the first name request has been sent.

An ABN, or an application reference, is normally required to register a business name. Cancelling the ABN first leaves an unresolved ASIC registration alongside an inactive ABN. ASIC can assess cancellation where the entity has stopped carrying on business. ABN cancellation does not replace the name-cancellation request or prove that the name has closed.

If the holder is a company, deregister the company is another task with its own eligibility conditions. Cancel or transfer the company’s business names while the holder can still authorise the work. Deregistering a company is not the same transaction as cancelling a name.

For a sale where the buyer keeps the name, use ASIC’s business-name transfer procedure. The seller requests consent to transfer and passes the secure transfer number to the buyer. An ordinary cancellation would leave the buyer without that transfer route. If the buyer uses a new name, register it before cancelling the old one.

Take the Record of Registration and the Extract Before the Name Closes

Keep the original registration document, then obtain an extract if you need more than proof that the name was registered. Clients often call the first document their business name registration certificate.

ASIC calls it a record of registration. It issues one after registration and each renewal. Search the client’s original ASIC registration or renewal email and download the attached record. If it is missing, ask the holder to search their correspondence and request assistance from ASIC to obtain it. Avoid buying a company certificate for a business name.

ASIC’s record-of-registration guidance confirms that the record does not have to be displayed. Its example record shows the business name and holder’s ABN. Keep those identifiers with the registration and renewal details.

A client asking for a business name registration number might mean the ABN or an old state or territory number. Identify which number their bank or other recipient needs. The ASIC key is account-access information, not the business’s public registration number. Keep it out of extracts sent to third parties.

Use the business names register to search by name, holder or ABN. Save the free summary first. Buy current business-name information for a fuller current record, or current and historical business-name information when changes matter to the closure file.

The registration record captures the registration as issued. An extract can show later registered information, including changes to the holder or addresses when you choose historical information. It helps when the name moved between holders or the client disputes what was recorded.

Extracts are paid search products. ASIC’s search-fee page identifies the products, and the order shows the payable fee before purchase. Save the receipt with the extract. For the earlier setup steps, use the business name registration guide.

Cancellation does not erase the register entry. You can still search a cancelled name and obtain available register information. The final cancelled status and notice prove closure more directly than the original registration record.

What Happens to the Name, the Fees and the Trading Identity Afterwards

After voluntary cancellation, ASIC protects the name from registration by someone else for four months. After that period, another applicant can register it if it is available. The former holder has no guaranteed right to get it back.

ASIC’s cancellation guidance says registration costs already paid are not refunded. That includes unused time in a registration period. Explain this before the client authorises cancellation, especially when the name was recently renewed.

Stop presenting the cancelled name as the client’s current trading identity. Remove it from active signage and invoice templates. Update the website and email footers. Preserve old invoices and correspondence as historical records rather than rewriting past transactions.

If the client expects to trade again under the same name, resolve that decision before cancellation. A domain name or social account does not reserve the ASIC registration after its protection period ends.

A registered trade mark is a separate right administered by IP Australia. Cancelling the business name does not cancel that trade mark. ASIC explains the distinction in Business names vs trademarks.

What the Practice Keeps on File

Keep enough evidence to identify the instruction, the lodger and the final outcome for every business name. The file needs:

  • The holder’s cancellation instruction and evidence of the instructing person’s authority.
  • The record of registration and any saved summaries or purchased extracts.
  • The transaction acknowledgement, intention notice and final cancellation notice.
  • The staff member who lodged, the account used and the transaction reference.
  • The register check showing cancelled status, plus the separate ABN and GST closure records.

Use the ASIC acknowledgement and account transaction history to support the lodgement record. Add the practice staff member’s identity to the file. A registered agent number alone does not show which authorised lodger submitted a business-name transaction.

At onboarding, search the holder or ABN and record every registered name. Ask which names are active, who receives ASIC notices and which accounts still use them. Repeat that search at exit and reconcile it against the client’s list. Close the job only when each name has a final outcome and the client has updated its trading identity.
